قرارداد کلیددردست از جمله قراردادهای نوظهور در عرصه فعالیت های اقتصادی و حقوق مهندسی است .این قرارداد که در گذشته در عرصه حقوق بین الملل منعقد می شد، در حال حاضر به پروژه های داخلی و حوزه حقوق خصوصی نیز تعمیم یافته است .قرارداد کلیددردست ممکن است برای اجرای طرح های عمرانی یا پروژه های صنعتی و ساختمانی مورد استفاده قرار گیرد .این قرارداد غالبا در قالب عقود پیمانکاری منعقد می گردند .قرارداد کلیددردست، حد اعلای سپردن مسئولیت به پیمانکار است به طوری که مسئولیت طراحی، تهیه تجهیزات و اجرا به طور کامل به عهده پیمانکار می باشد و کارفرما پس از تکمیل پروژه فقط با چرخاندن یک کلید می تواند بهره برداری از طرح را آغاز نماید .در نتیجه مطالعات صورت گرفته درمی‌صیابیم این قرارداد در حقوق داخلی ایران جزء عقود غیرمعین بوده و از آنجاییکه قواعد حاکم بر آن دقیقا تدوین نگردیده و در این زمینه خلاء قانونی وجود دارد، برای تحلیل احکام و شرایط و آثار آن باید به قرارداد منعقده و تفسیر اراده طرفین قرارداد توسل جست .در این قرارداد که ترکیبی از تعهدات قراردادی طرفین قرارداد است، نقض تعهدات قراردادی سبب مسئولیت قراردادی طرفین عقد خواهد بود .لذا با توجه به اهمیت و نقش این قرارداد در حقوق قراردادها و عدم توجه دکترین حقوقی در این زمینه، بررسی جنبه های حقوقی قرارداد مزبور با توجه به مدل ها و نمونه قراردادهای بین المللی مفید فائده خواهد بود .باشد که تحقیق حاضر برای تدوین قوانین در آینده مثمر ثمر واقع گردد

The turnkey contract is one of the emergent contracts in the field of economic activities and engineering law. This contract, in times past, was concluded in the field of international law. At present, it has been codified to domestic projects and also the field of private law. The turnkey contract may be used to execute the civil projects or industrial and constructional projects. This contract is concluded in the form of contractual contracts. The turnkey contract means giving a superlative responsibility to the contractor.therefore, the responsibility of desining, procurement and execution will be completely contractors responsibility and after the completion of the project, the employer will turn the key and start exploiting the project. Baised on the studies carried out in this field, we fiend out that this contract in the domestic law of Iran is part of indefinite conclusions and since whose ruling regulation have been exactly codified, there is a serious gap legally. So, for the analysis of sentences, conditions and its effects, we should invoke the concluded contract and interpretation of contract parties intention. In this contract which is a combination of contractual obligations of the contractual parties, the violation contractual obligations causes the contractual liability of the contractual parties. Therefore, regarding the significance and role of this contract in the contractual rights and not paying attention by the legal doctrine in this regard, the study of the legal aspects of the mentioned contract regarding the models and the examples of international contracts will be useful. Hopefully, the present study would be useful for codifying the regulations in the future
